Campbell Soup Company has made a significant move in the food industry by acquiring Sovos Brands, Inc. for a whopping $2.7 billion, paying $23 per share in an all-cash transaction. This acquisition is a game-changer for Campbell, adding several leading premium brands to its portfolio, including Rao’s, Michael Angelo’s, and noosa. These brands cover a range of products from pasta sauces and soups to frozen entrées and yogurts.
Sovos Brands has shown impressive performance, with a reported $1.0 billion in net sales for the year ended Dec. 30, 2023, and a remarkable 25% increase in organic net sales year over year. Particularly, Rao’s has been a standout, generating $775 million in annual revenue and is on track to become a $1 billion brand.
To capitalize on this acquisition, Campbell has created a new business unit within its Meals & Beverages division, named Distinctive Brands. This unit combines the newly acquired brands with Pacific Foods, which has been a significant growth driver since its acquisition in 2017. Risa Cretella, previously Chief Sales Officer at Sovos Brands, will lead this new unit, aiming to continue the growth trajectory of these premium brands.
Campbell’s strategy is clear: they plan to integrate these brands effectively, leveraging their existing capabilities and processes. They anticipate the transaction to be accretive to adjusted diluted earnings per share by the second year of ownership, excluding one-time integration expenses. Additionally, they expect to achieve approximately $50 million in annualized cost synergies over the next two years, thanks to their supply chain excellence and scale.
